1. Legal Framework

This agreement is governed by:

·       The Civil Code of Georgia (Articles 380–520 on Obligations)

·       Law of Georgia "On Electronic Commerce" (No. 2092, 2018)

·       Law of Georgia "On Consumer Rights Protection" (No. 2210, 2014)

·       Law of Georgia "On Personal Data Protection" (No. 5669, 2011)

2. Service Delivery Terms

2.1 Digital Service Provision
All AI tools/services are considered delivered upon:
a) Electronic access granted to user account, or
b) API keys/license codes sent to registered email
Delivery is immediate for automated systems (per Art. 14, E-Commerce Law)

2.2 Merchant of Record Services
For services where UPLEF FZ-LLC acts as Merchant of Record:

·       Service delivery is coordinated through the MoR framework

·       Payment processing and tax compliance handled by UPLEF FZ-LLC

·       Delivery confirmation issued by Merchant of Record

2.3 Top-Up Credits (Prepaid Services)
Credits are valid for 24 months from purchase (per Art. 198, Civil Code)
Non-refundable except when:
a) Service is technically unavailable for >72 hours
b) Required by Consumer Protection Agency decision

2.4 Subscription Services
Minimum contract duration: 1 billing cycle
Auto-renewal notices sent 14 days before payment (Art. 22, Consumer Law)
Right to cancel with 7-day notice before renewal

3. Service Levels & Performance

3.1 Availability Commitment

·       Core AI Services: 99.5% uptime (excluding scheduled maintenance)

·       API Services: 99.9% availability for enterprise plans

·       Scheduled maintenance: Maximum 4 hours per month with 48-hour notice

3.2 Support & Response Times

·       Priority Support (Enterprise): 2-hour response during business hours

·       Standard Support: 2 business days (Tbilisi time)

·       Emergency Technical Issues: 24/7 for critical service disruptions

4. Consumer Rights (Georgian Law Compliance)

4.1 Withdrawal Period
14 calendar days withdrawal right for non-business users
Exceptions (per Art. 25(2), Consumer Law):

·       Digital content delivered immediately

·       Custom-developed AI solutions

·       Services where work has commenced with user approval

4.2 Warranty Obligations
12-month functional warranty on all paid services
Support response time: 2 business days (Tbilisi time)

5. Data Processing & Security

5.1 Data Handling

·       User data processed in accordance with GDPR and Georgian data protection laws

·       Merchant of Record (UPLEF FZ-LLC) acts as data controller for transaction data

·       ADLEFY TECHNOLOGY LLC maintains data processor responsibilities

5.2 Security Standards

·       Encryption: TLS 1.3+ for data in transit, AES-256 for data at rest

·       Access Controls: Role-based authentication and authorization

·       Compliance: Regular security audits and vulnerability assessments

6. Intellectual Property

6.1 License Grants
Upon successful delivery and payment:

·       Users receive non-exclusive license to use AI-generated outputs

·       Commercial use permitted for all appropriately licensed services

·       Source code and algorithms remain property of ADLEFY TECHNOLOGY LLC

7. Dispute Resolution

Mandatory Negotiation Period: 30 days
Jurisdiction: Tbilisi City Court
Alternative Resolution: Georgian National Communications Commission
